Terms of Trade

Please note: These Terms of Trade are for Mela wholesale customers. For contract bottling each contract will be customised.

By using our services, you are accepting our Terms and Conditions.

Mela Ltd is a producer of fruit based beverages and supplies those beverages in 330ml and 2L bottles under the Mela brand. Mela Ltd produces these products within the framework of the New Zealand Food Safety Guidelines and assures quality is of the highest standard.

By using our services you are accepting the following Terms and Conditions:

1) Price:

Mela Ltd will notify the buyer 30 days prior to any price increase. This notice will be delivered via email and sent at 30 and 15 days prior to price change.

2) Payment:

A. Existing Customers: Mela Ltd requires invoices to be paid by the 20th of the following month. Account Statements will be sent out on the first of each month to reflect monies owed.

B. New Customers: Mela Ltd will expect cash on delivery for the first 6 months of trade on all new accounts. We will review at 6 months.

3) Invoicing:

A. Invoicing: Invoices will accompany all products leaving the warehouse. Invoices and statements will be delivered electronically (PDF format) through email to accounts payable department.

B. Overdue Accounts: Accounts are considered overdue if payments are not received by the 20th of the month following the invoice.

If you do not pay a bill by the due date for payment set out on it, any or all of the following may occur:

  • you may incur a late payment fee of (15%) per month after the payment due date on the gross amount outstanding on any late payments including any disbursements.

  • we may withhold, suspend, restrict or terminate any service we provide for you.

  • your debt may be sent to a collector. All costs of collection incurred in the recovery of overdue funds, including but not limited to debt recovery charges, late payment penalties and legal fees will be added to the balance of your account. Recovery collection cost may be up to 40.35% on the gross amount outstanding.

4) Delivery:

Mela Ltd will cover all North Island (except Waiheke Island, Northland) shipping costs on order quantities of 10 cartons or greater. Orders less than 10 cartons will require the retailer/purchaser to share 60% of the delivery costs. South Island shipping available by arrangement.

A. Delivery Date: Mela Ltd will deliver the product on the date specified by the retailer. Mela Ltd will make every assurance to confirm that the product will arrive on time; however, we will not be responsible for transport company delay, errors or product mishandling en route.

B. Mela Ltd will deliver the product within 2-4 working days of the products placed order date, if no specified delivery date is required.

5) Recall:

Mela Ltd is responsible for all product compliance and recall. All faulty products should be recorded by the retailer and relayed to Mela Ltd. Product replacement or credit will be granted to all customers as per their choice of either. Mela Ltd will initiate full product recalls on batches deemed faulty.
